1. GENERAL PROVISIONS

1.1 These Terms and Conditions of Sale and Purchase (hereinafter referred to as the “Terms and Conditions”) set out the rights, duties and responsibilities of the buyer (hereinafter referred to as the “Buyer”) and the seller (hereinafter referred to as the “Seller”), the conditions for obtaining and paying for goods, the procedure for the delivery of the goods and the procedure for returning the goods as well as any other provisions relating to the sale and purchase of the goods, which are applicable to the use of the services of the online shop proflexbaltic.lt.

1.3. Buyer

A natural or legal person who complies with these Terms and Conditions, uses the online shop and purchases the goods offered by the Seller.

1.4. Sale and purchase agreement

This is a contract between the Buyer and the Seller for the sale of Goods, consisting of the Buyer’s order form and these Terms and Conditions, as amended and supplemented from time to time.

2. PROCEDURE FOR CONCLUDING THE SALE AND PURCHASE AGREEMENT

2.1 The Contract between the Buyer and the Seller shall be deemed to be concluded from the moment when the Buyer, having selected the Goods in the online shop www.proflexbaltic.com, places an order, confirms it by clicking on the active “Order” link and receives the Seller’s confirmation by e-mail.

2.2 All orders placed by the Buyer shall be registered and stored in the online shop system.

2.3 The Buyer must provide correct data when registering or placing an order. If the Buyer provides incorrect or inaccurate data, the Seller shall not be liable for any disruptions or damages resulting from the provision of such data.

3. RIGHTS AND OBLIGATIONS OF THE BUYER

3.1. Rights:

3.2 The Buyer has the right to purchase goods from www.proflexbaltic.com in accordance with these Terms and Conditions.

3.3 The Buyer, a natural person, shall have the right to withdraw from the contract of sale within 14 calendar days of receipt of the Goods by notifying the Seller in writing. The Goods must be returned in their original packaging, unused and undamaged, unless otherwise required by law.

3.4 Obligations:

3.5 The Buyer shall pay for and accept the Goods in accordance with the Conditions.

3.6 The Buyer is responsible for providing accurate contact details and must update these details immediately if they change.

3.7 The Buyer must not pass on his/her login details to any third party.

4. RIGHTS AND OBLIGATIONS OF THE SELLER

4.1.Rights:

4.2 The Seller shall have the right to change the prices, promotions and conditions of sale of the Goods at any time.

4.3 The Seller shall be entitled to cancel the Buyer’s order if the Buyer fails to pay for the Goods within 3 working days or if the Buyer fails to contact the Seller.

4.4 Responsibilities:

4.5 The Seller undertakes to deliver the Goods in accordance with the terms of the Order.

4.6 If the Seller is unable to deliver the ordered goods, the Seller must inform the Buyer and offer similar goods or a refund within 3 working days.

5. PAYMENT FOR GOODS

5.1 The prices of the Goods in the online shop www.proflexbaltic.com are quoted in euros, exclusive of delivery charges, including VAT, unless otherwise stated.

5.2 Payment for the Goods may be made by:

– Bank payment;
– Bank cards;
– Apple Pay and Google Pay;
– By bank transfer to the Seller’s bank account.

5.3 Orders for Goods will only be placed once full payment for the Goods ordered has been received.

6. DELIVERY OF GOODS

6.1 The Buyer must provide an accurate address for delivery of the Goods or choose a suitable post office.

6.2 The Goods shall be delivered by the Seller or its authorised representatives within 1-5 working days unless otherwise stated.

6.3 The Buyer shall inspect the condition of the consignment at the time of delivery and shall immediately inform the Seller and the courier if any damage is noticed.

7. REFUNDS AND GUARANTEES

7.1 The Goods may be returned to the Seller within 14 days, in accordance with the procedures provided for by law and the Rules.

7.2 Warranty terms and conditions shall be determined in accordance with the category of goods concerned and the legislation of the Republic of Lithuania.

8. FINAL PROVISIONS

8.1 All disputes shall be settled by negotiation. If no agreement can be reached, disputes shall be settled in the courts of the Republic of Lithuania according to the place of registration of the Seller.

8.2 The Seller reserves the right to change the Terms and Conditions at any time by notifying the Seller on its website proflexbaltic.com.
